Job description

NUMA is looking for a Director of Legal Affairs who will be responsible for building NUMA’s legal operations, running NUMA’s corporate legal affairs, managing the legal relationship with its portfolio of start-ups and advising NUMA’s affiliates on the execution of their standard equity and funding arrangements.

The Director of Legal Affairs’ responsibilities will include:

  • Manage NUMA’s corporate affairs and documentation, ensure the respect and fulfilment of shareholders’ rights and obligations under the existing and future documentation;
  • Review, drafting and/or recommendation of Standard Equity and Funding Arrangements for each Acceleration where NUMA is entitled to direct equity stakes in participating start-ups;
  • Educate start-ups on typical venture-deal arrangements;
  • Review of participating start-ups’ bylaws and shareholder agreements, identification of legal issues, recommendation of drafting changes priori to NUMA taking its initial equity stake;
  • Manage partnering legal firms for countries and programs where NUMA has direct equity stakes and has decided to outsource the execution of its Standard Equity and Funding Arrangements;
  • Review, negotiate and approve requests from portfolio start-ups;
  • Execute follow-up investment or exit in portfolio companies
  • Substantial role in NUMA’s organisation, Paris being NUMA’s headquarters

The Director of Legal Affairs reports to the COO and Investment Director.

Main location is central Paris, France.
Traveling as needed to support NUMA Paris acceleration team


Preferred experience

The successful candidate must have a proven experience in M&A, venture or corporate financing, a strong interest in digital innovation, be comfortable in a fast moving environment and looking for an ambitious challenge.

The successful candidate must match the following criterias:

  • Minimum 5 / 8-year experience in a firm specialized in corporate law and if possible venture financing in France;
  • Understanding of UK and US corporate law with prior experience working on international transactions;
  • Leadership capabilities and project management skills (goal-setting, organization, and
implementation)

  • Ability to provide independent advice (orally and in writing) to senior level manager on technical matters
  • The candidate must be fluent in English.
